1. Benchmarking

We start by setting the benchmark for the results already achieved and analyse if the project, regardless of whether purely strategic or related to the development and restructuring of your IT structure, meets the set objectives.

2. Market analysis

Based on your company’s data, we look at all the different aspects of the market in which you operate. This includes competitors as well as all the resources you need and the target groups to which your products and services are tailored.

3. Expansion design & strategy

The strategy of the upcoming project will be detailed and defined in its sequence points. Besides, all aspects to be considered and aligned with the new project objectives will be discussed and determined.

4. Integrated budget

We work with you to draw up a financial plan for budgeting your project or the entire company. This can include both self-financing and external financing. For this purpose, we use our network of financial experts and – if desired – find the right investor for your company.

5. Teaser

A teaser is a short advertising part that provides limited information about your project to interested investors. The aim is to separate interested investors from the mass of longlist contacts.

6. Longlist

Creation of a first, larger selection of partners, potential investors and/or buyers. We start to contact them tactically and involve them in the project directly.

7. Pitch

According to the longlist and the partners/investors/buyers reached, we create a project pitch that presents the project. The pitch itself presents the core message of the project in short points so that all necessary information is conveyed without publishing internal company data.

8. Shortlist

All investors who are interested are assembled to enter into precise and detailed negotiations. It is therefore a shortened, specific form of the longlist and includes all people and companies that from now on belong to the “shortlist”.

9. Dataroom

We collect, sort and index all information required for commercial, legal, tax or tech due diligence in a data room right from the start. This data room now contains all the data records that you would like or should provide to potential investors for the subsequent due diligence.

10. Due diligence

A Due Diligence examination corresponds to a company examination by potential buyers and investors. In this due diligence, all strengths and weaknesses of your company are examined and the risks associated with a (share) purchase are evaluated on the basis of this.

11. Final negotiations

As soon as the interested parties have decided which economic profit they would like to achieve and what their offer consists of, we proceed to the necessary negotiations. This involves not only financial aspects, but also other variables that affect the business.

12. Drafting of contracts

much. reads the contracts with a view to their economic consequences. Legal advice will be provided by a lawyer of your or our choice. We would be very pleased to consult our contacts in order to ask the specialist who can accompany your topic best.

13. Confirmatory DD

Shortly before the conclusion of the financing project contract, the assumptions made by the buyer/investor regarding the contract points are verified. Only after this process, which is relevant for both parties, has been completed the contract come into effect.

14. Closing / conclusion of contract

The negotiated and drawn up contract shall be concluded by concordant declarations of intent of the parties. We will support you until the contract is closed and all relevant dates are fixed. Hence, you will always have an experienced support at hand when needed.

Three types of financing are available to you:

  • Third party equity. Investors (VC/PE) buy shares in the company and thus have a sustainable stake in it.
  • Mezzanine. Mezzanine is considered a loan for legal and tax purposes. Due to the long maturities (from 5 years) and subordination, they are economically allocated to equity.
  • Debt capital. This is a loan that is repaid in accordance with fixed terms and interest rates.
